(d) Shipper Certification: A Statement by the Shipper
certifying that all necessary upstream and downstream
arrangements will be in place on the date the transportation
service is to commence and that the Shipper will have title,
or the right to acquire title to the gas to be delivered to
Transporter.
(e) Facilities: Identification and location of any facilities
to be constructed or installed by any party affected by the
proposed transportation service.
(f) Credit Evaluation:
Shipper must comply with the Creditworthiness Standards in
Sections 16 and 36.1 of the General Terms and Conditions of
this tariff and provide the following information.
(i) a copy of Shipper's most recent audited financial
statement(s) for the periods subject to (f) (ii)
below;
(ii) a copy of Shipper's most recent twelve month financial
statement or Annual Report and, if applicable, 10-K
form;
(iii) a list of Shipper's affiliates, including parent and
subsidiaries, if applicable.
3.2 In the event Shipper cannot provide the information in Section
3.1(f)(i) and/or (ii) above, Shipper shall, if applicable, provide
that information for its parent company. Transporter shall not be
required to perform or to continue service under this Rate
Schedule on behalf of any Shipper who is or has become insolvent
or who, at Transporter's request, fails within a reasonable period
to demonstrate credit worthiness; provided, however, such Shipper
may receive service under this Rate Schedule if Shipper prepays
for such service or furnishes good and sufficient security, as
determined by Transporter in its reasonable discretion, in an
amount equal to the cost of performing the service requested by
Shipper for a three month period. Transporter shall be entitled
to terminate service to any Shipper that fails to demonstrate
credit worthiness or has become insolvent. For purposes herein,
