PRELIMINARY STATEMENT

K N Interstate is a "natural gas company" under the

definition of Section 2(6) of the Natural Gas Act and is

subject to the jurisdiction of the Commission. K N

Interstate's operations include the processing, exchange,

transportation and storage of natural gas. K N Interstate

operates in the states of Colorado, Kansas, Missouri,

Oklahoma, Texas and Wyoming, performing one or more of these

functions.
