STORAGE SERVICE AGREEMENT

12. Assignment.

This Agreement shall be assignable to any

affiliate of a party hereto upon prior consent of the other

party hereto, such consent not to be unreasonably withheld.

Such assignment shall not relieve the assignor of its obligations

hereunder. For purposes of this Section 12, affiliate shall

mean any entity which controls, is controlled by, or is under

common control with, a party.

This Agreement and all rights and obligations

hereunder shall be binding upon and inure to the benefit of the

respective parties, and their respective assigns and successors

in interests.

IN WITNESS WHEREOF, the parties hereto have caused this

Agreement to be duly executed by their officers hereunto duly

authorized as of the date first above written.
