NOTICES

14.1 Except as otherwise provided, all notices, requests,

demands, statements, or bills provided for in this

Agreement, or any notice which either party desires

to give to the other, shall be in writing, delivered

in person, by delivery service or by United States

Mail, and shall be considered duly delivered upon

receipt at the addresses below or at such other

addresses as may be hereafter furnished by one party

to the other in writing:

ARTICLE XV

ASSIGNMENT

15.1 This Agreement shall be freely assignable to any

affiliate of a party hereto and may be assigned to

any third party upon prior consent of the other

party hereto, such consent not to be unreasonably

withheld. For purposes of this Article XV,

affiliate shall mean any entity which controls, is

controlled by, or is under common control with, a

party.
