SERVICE AGREEMENT FOR

INTERRUPTIBLE LIQUID SERVICE

THIS AGREEMENT, DATED THIS _____ DAY OF __________, 199__,

made and entered into by and between DISTRIGAS OF MASSACHUSETTS

CORPORATION, a Delaware corporation, (hereinafter called "Seller")

and _______________, (hereinafter called "Buyer");

WITNESSETH

WHEREAS, Seller owns and operates a Liquefied Natural Gas

("LNG") Terminal in Everett, Massachusetts and is engaged in the

purchase, terminalling, and sale of LNG; and

WHEREAS, Buyer desires to purchase LNG services from Seller;

NOW, THEREFORE, in consideration of the covenants and

agreements herein contained, together with other good and

valuable consideration, the receipt and sufficiency of which is

hereby mutually acknowledged, Seller and Buyer do mutually

covenant and agree as follows:

QUANTITY

1.1 Seller agrees to sell and Buyer agrees to purchase, on an

interruptible basis, subject to the terms and delivery conditions
