5.4 Excess volumes sold hereunder shall be sold at a price to be

negotiated between Buyer and Seller, but not to exceed the

Interruptible Commodity Cap prescribed in Section 3.1 of Seller's

Rate Schedule ISS.

ARTICLE VI

METERING AND MEASUREMENT

6.1 The metering and measurement of the gas delivered hereunder

shall be in accordance with the specifications contained in the

General Terms and Conditions of the FERC Gas Tariff(s) of the

Transporting Pipeline(s) making deliveries at the Point(s) of

Delivery hereunder.

ARTICLE VII

GOVERNMENTAL REGULATIONS

7.1 This Agreement is subject to all valid laws, orders, rules

and regulations of duly constituted authorities having

jurisdiction.

ARTICLE VIII

GENERAL TERMS AND CONDITIONS

8.1 The General Terms and Conditions of Seller's FERC Tariff are

incorporated herein for all purposes.

ARTICLE IX

TERM

9.1 Subject to any requisite governmental authorizations, this

Agreement shall take effect on __________, 199__, and shall

remain in effect until __________, 199__.
