THIS CONTRACT is made and entered into this ____ day of

___________, 199_ by and among Alabama-Tennessee Natural Gas

Company, an Alabama Corporation, hereinafter called "Transporter",

____________________ hereinafter called "Releasing Shipper", and

____________________, hereinafter variously called "Bidder" or

"Replacement Shipper." Transporter, Releasing Shipper and

Replacement Shipper shall hereinafter collectively be referred to

as the "Parties."

WHEREAS, Transporter owns and operates an interstate natural

gas transmission system and provides transportation service on such

system; and

WHEREAS, Transporter's Tariff on file with the Federal Energy

Regulatory Commission permits firm transportation shippers under

Transporter's Rate Schedule FT to release some or all of their

transportation rights under the terms and conditions prescribed in

said Tariff; and

WHEREAS, Releasing Shipper is obtaining firm transportation

service from Transporter pursuant to a (Released) Transportation

Service Contract No. ____; and

WHEREAS, Replacement Shipper has been awarded certain capacity

rights related to the Releasing Shipper's (Released) Transportation

Service Contract No. ____ under the Released Transportation Service

Contract No. __ by and between Transporter and Replacement Shipper

dated _____; and
