GENERAL TERMS AND CONDITIONS

1. DEFINITION OF TERMS

Except where the context expressly states another meaning, the

following terms when used in this tariff and in any service

contract, including any sales or transportation contract,

incorporating said Tariff, shall be construed to have the

following:

1.1 The term "Transporter" or "Seller" shall mean Alabama-

Tennessee Natural Gas Company.

1.2 The term "Shipper" shall mean any party receiving service

pursuant to any of Transporter's transportation Rate

Schedules.

1.3 The term "Buyer" shall mean any Sales Customer of

Transporter.

1.4 The term "Parties" shall mean Transporter and Buyer or

Shipper, as applicable when referred to collectively.

1.5 The term "day" shall mean a period of twenty-four

consecutive hours, beginning and ending at 9:00 a.m.

Central Clock Time ("CCT").

1.6 The term "month" shall mean the period beginning at 9:00

a.m. CCT on the first day of the calendar month and ending

at 9:00 a.m. CCT on the first day of the next succeeding

calendar month.

1.7 The term "year" shall mean a period of 365 consecutive days

beginning on the date natural gas is first delivered or is

to be delivered under transportation or other service

contract, whichever is earlier, or on any anniversary

thereof. Provided, however, that any such year which

contains a date of February 29 shall consist of 366

consecutive days.

1.8 The term "cubic foot" shall mean the volume of gas which

occupies one (1) cubic foot when such gas is at a

temperature of sixty degrees (60þ) Fahrenheit, and at a
