Other Terms and Conditions

Use of the Messengerþ system is expressly subject to all of the

General Terms and Conditions, as well as all of the terms and conditions

of any Rate Schedule and Service Agreement which may be applicable to

any transaction performed by Messengerþ Subscriber and Pipeline by means

of the Messengerþ system, all of which are set forth in Pipeline's

currently effective FERC Gas Tariff as amended from time to time and are

hereby incorporated by reference. In the event of a conflict between

the terms and conditions of this service agreement and any other

applicable terms and conditions set forth in Pipeline's currently

effective FERC Gas Tariff which are incorporated by reference herein,

such other terms and conditions shall govern Messengerþ Subscriber's use

of the Messengerþ system unless otherwise specifically provided herein.

ARTICLE III

TERM

This Agreement shall be and continue in full force and effect from

the date of execution hereof until terminated only for due cause or at

Messengerþ Subscriber's request. Messengerþ Subscriber agrees that

Pipeline shall have the unilateral right to file with the appropriate

regulatory authority and make changes effective in (a) the rates and

charges applicable to service pursuant to this Service Agreement or (b)

any provision of the General Terms and Conditions applicable to this

Service Agreement. Pipeline agrees that Messengerþ Subscriber may

protest or contest the aforementioned filings, and Messengerþ

Subscriber does not waive any rights it may have with respect to such

filings.
