12. RIGHT OF FIRST REFUSAL

The Right of First Refusal (ROFR) terms and conditions, as detailed in Section 13

of Rate Schedule FTS-1, shall apply to FTS-2 Shippers.

13. GENERAL TERMS AND CONDITIONS

The General Terms and Conditions of this Tariff are hereby incorporated into and made

a part of this Rate Schedule except for Sections 11.3 and 34.
