(58) The combined reservation, commodity, and fuel rate is $.13/dth/day.

The rate includes all applicable surcharges and fuel. Transwestern

shall allocate the Rate between reservation and commodity

components, inclusive of surcharges and fuel.

The term of the negotiated rate is from June 1, 1998 through May 31,

2003.

(61) In the event SMUD releases capacity and the rate for such released

capacity exceeds the applicable rate payable to Transwestern by SMUD

under this contract, and the purchaser of such released capacity

makes payments to Transwestern in excess of the rate payable under

SMUD's contract, Transwestern agrees to credit SMUD with 100% of the

difference between the rate payable to Transwestern under this

contract and the amount received from the purchase of SMUD's

released capacity up to $0.05/Dth. Transwestern and SMUD will share

equally in any difference over and above said $0.05/Dth. The term is

from March 1, 1997 through March 31, 2017.
