TRADING PARTNER AGREEMENT
for the Electronic Data Interchange
of Information Over the Public Internet
THIS TRADING PARTNER AGREEMENT (the "Agreement") is made by and
between _____________________ ("Company") a ____________________, with
offices at ________________________________, and
__________________________________________________________ ("Trading
Partner"), a _________________________________________________
corporation, with offices at _______________________________________
(collectively, referred to as the "parties").
WHEREAS, the parties desire to facilitate administrative matters,
reports and other information exchanged ("Transactions") by electronically
transmitting and receiving data in agreed formats in substitution for on-
line transmittal and/or for conventional paper-based documents; and
WHEREAS, the parties desire to assure that such Transactions are
legally valid and enforceable as a result of the use of available
electronic technologies as contemplated herein in place of original,
handwritten signatures of the parties for the mutual benefit of said
parties; and
WHEREAS, the parties desire to enter into this Agreement to govern
their relationship solely with respect to electronic data interchange
("EDI") Transactions utilizing ASC X12 protocols over the public Internet
as the electronic delivery mechanism.
NOW THEREFORE, in consideration of the premises and covenants herein
contained, and for other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the parties, intending to be
legally bound, hereby agree as follows:
Section 1. Prerequisites.
1.0. Appendix. The Appendix and Exhibit(s) thereto hereafter are
referred to as the "Appendix." The Appendix to this Agreement is attached
hereto and made a part hereof for all purposes and shall indicate
elections and/or amendments made by the parties by mutual agreement. In
the event of a conflict between the provisions in the body of this
Agreement and the Appendix, the Appendix will govern.
