between TransColorado and the replacement Shipper on the EBB
conforming to the terms of the Shipper's bid.
(h) A releasing Shipper shall retain all of the capacity under
its transportation service agreement that is not acquired by
a replacement Shipper.
(i) Unless TransColorado agrees otherwise in writing, the
original capacity holder will remain responsible to
TransColorado for payment of the reservation charge
throughout the original contract term irrespective of any
capacity release.
(j) If TransColorado agrees to release the original capacity
holder of its contract obligation, under which the original
capacity holder is paying a discounted rate, TransColorado
will not be obligated to provide service at a discounted
rate to a replacement Shipper under a permanent capacity
assignment.
(k) Bills to releasing Shippers will reflect simultaneous credit
for reservation charges billed to replacement Shippers.
6.14 Permanent Release of Capacity.
(a) Where all or a portion of a Shipper's capacity has been
permanently released for the entire remaining term of the
releasing Shipper's service agreement without recall or
interruption rights, the releasing Shipper may request
TransColorado to amend its service agreement to reflect the
permanent release of the capacity. Unless TransColorado
agrees in writing, the original shipper will remain
responsible to TransColorado for payment of the reservation
charge throughout the original term of the agreement.
TransColorado may not unreasonably refuse to relieve the
original Shipper of its liability for payment of the
reservation charge for a permanent release.
(b) TransColorado shall not be obligated to amend the releasing
Shipper's service agreement to reflect the permanently
released capacity and may condition an amendment to the
agreement on payment of exit fees. In lieu of exit fees,
the replacement Shipper may enter into a new service
agreement containing terms and conditions acceptable to
TransColorado. TransColorado will not amend a releasing
shipper's contract to reflect a permanent release of
capacity when the release has been made at a volumetric
rate.
(c) Unless TransColorado agrees to amend the releasing Shipper's
