8/This contract is effective month-to month until terminated by prior written

notice by either party.

9/The volumes under this contract have a Maximum Daily Quantity of 20,000 Dth

and a Maximum Aggregate Quantity of 620,000 Dth.

10/The negotiated rate for this Park and Loan Service will be a monthly fee of

$18,000. Subsequent monthly fees, if any, will be adjusted based on changes

in natural gas prices as published by Platts, "INSIDE FERC GAS MARKET REPORT",

El Paso Natural Gas, San Juan Basin index. Any changes in the rates herein

shall not be effective for renewal of this agreement until mutually agreed to

by the parties. Any changes to the monthly fee will be reported to the FERC

as a negotiated rate. This agreement will allow Red Cedar Gathering to swing

up to 20,000 Dth per day. To the extent TranColorado has a compressor outage

and is unable to provide this Park and Loan Service, TransColorado will

prorate the monthly fee based on the number of days TransColorado is unable to

perform this service.

11/Shipper's reservation charge is based on a seventy-five percent load

factor. This requires the Shipper to pay a reservation charge of $0.35/Dth

($10.6458 x 12 / 365) on the first "Minimum Dth/month" listed below,

regardless of flow. At 581,251 dth or more for January, 525,001 dth or more

for February, 581,251 dth or more for March and 787,501 dth or more for April,

the Shipper is only required to pay this reservation charge on volumes that

flow.

12/Shipper's reservation charge is based on a thirty percent load factor.

This requires the Shipper to pay a reservation charge of $0.25/Dth ($7.60417 x

12 / 365) on the first 228,000 Dth per month, regardless of flow. At 228,001

Dth or more, the Shipper is only required to pay this reservation charge on

volumes that flow.
