FORM OF TRANSPORTATION SERVICE AGREEMENT

Rate Schedule IT-SL, IT-1, IT-2, IT-3 and IT-4

THIS AGREEMENT, made and entered into this ________ day of

_______________, 19__, by and between Texas Gas Transmission Cor-

poration, a Delaware corporation, hereinafter referred to as

"Transporter," and _______________________, a __________________

hereinafter referred to as "Customer,"

WITNESSETH:

WHEREAS,

NOW, THEREFORE, in consideration of the premises and of the

mutual covenants herein contained, the parties hereto covenant

and agree as follows:

ARTICLE I

Definitions

Section 1, Definition of Terms of the General Terms and

Conditions of Transporter's FERC Gas Tariff, Original

Volume No. 2-A, on file with the Commission is hereby in-

corporated by reference and made a part of this Agreement.

ARTICLE II

Transportation Service

2.1 Subject to the terms and provisions of this Agreement,

Customer agrees to deliver or cause to be delivered to

Transporter, at the Point(s) of Receipt in Exhibit "B"

hereunder, Gas for Transportation, and Transporter agrees

to receive, transport and redeliver, at the Point(s) of

Delivery in Exhibit "C" hereunder, Equivalent Quantities of

Gas to Customer or for the account of Customer, on an

interruptible basis, up to ______ MMBtu per day, which

shall be Customer's Transportation Contract Demand.

2.2 Customer shall reimburse Transporter for the Quantity of

Gas required for fuel, company use, and unaccounted for
