PRELIMINARY STATEMENT

Sea Robin Pipeline Company is an unincorporated joint venture

organized under the laws of the State of Louisiana, whose owners are

Southern Offshore Pipeline Company and Southern Deepwater Pipeline

Company, each of which is a corporation organized under the laws of the

State of Delaware. Sea Robin Pipeline Company is a natural gas company

engaged in the transportation of natural gas in interstate commerce.
