3. This Agreement shall be assignable by either party hereto and all

the terms, covenants, stipulations and provisions of this Agreement shall

inure to and be binding upon the respective successors and assigns of the

parties hereto; provided, however, that no such assignment by any party

shall be binding upon the other party until that party shall have been

furnished an authenticated copy thereof.

4. This Agreement may be executed in any number of counterparts, each

of which shall be deemed an original, but all of which together shall

constitute but one and the same instrument.

5. The headings contained in this Agreement are for reference purposes

only and shall not affect the meaning or interpretation of this Agreement.
