to the demands of an opposing party when such course is inadvisable in the

discretion of the party having the difficulty.

3. Such force majeure affecting the performance hereunder by either

Mid Louisiana or United, however, shall not reliever such party of

liability in the event of concurring negligence or in the event of failure

to use due diligence to remedy the situation and to remove the cause in an

adequate manner and with all reasonable dispatch.

ARTICLE X

MISCELLANEOUS

1. Except as herein otherwise provided, any notice, request, demand or

statement provided for in this agreement, or any notice which either party

may desire to give to the other, shall be in writing and shall be

considered as duly delivered when mailed by registered or certified mail

return receipt requested to the Dost office address of the parties hereto

as follows:

or such other address as either of the parties hereunder shall designate by

formal written notice. Routine communications, including monthly

statements, shall be considered as duly delivered when mailed by either

registered, certified or ordinary mail, postage prepaid.

2. No waiver by either party of any one or more defaults in the

performance of any provision hereunder shall operate or be construed as a

waiver of any future default or defaults, whether of a like or a different

character.
