7.3 The interpretation and performance of this Agreement shall be in

accordance with the laws of the State of Texas, excluding conflicts

of law principles that would require the application of the laws of

a different jurisdiction.

7.4 When this Agreement becomes effective, it shall supersede the

following agreements between the parties hereto:
