4. This Agreement shall be interpreted subject to the laws of the

State of Louisiana and any disputes hereunder shall be settled by the

decision of and pursuant to the rules of the American Arbitration

Association.

This Agreement shall be binding upon and inure to the benefit of the

successors and assigns of each of the parties hereto.

IN WITNESS HEREOF, this Agreement is executed as of the date first
