INTERRUPTIBLE TRANSPORTATION SERVICE

RATE SCHEDULE

1. AVAILABILITY.

This Rate Schedule is available for interruptible transportation of

natural gas by K N Wattenberg Transmission Limited Liability Company

("Transporter") for any party ("Shipper"), when:

1.1 Shipper has elected to have gas transported under this

Interruptible Transportation Rate Schedule.

1.2 Such transportation can be performed without any construction

of facilities or other necessary investment by Transporter

unless Transporter has waived in a nondiscriminatory manner

this requirement in writing;

1.3 Shipper has executed a Service Agreement in the form contained

in this Gas Tariff of which this Rate Schedule is a part;

1.4 The transportation service is to be implemented in accordance

with Part 284 of the FERC regulations.

1.5 Transporter shall receive and deliver gas to Shipper as shown

on the executed Service Agreement.

2. APPLICABILITY AND CHARACTER OF SERVICE.

2.1 Transportation service hereunder shall include forward-haul,

displacement, back-haul, and exchange service. The service will

be on an interruptible basis, but subject to the General Terms

and Conditions attached hereto.

2.2 Transporter shall not be required to perform service under this

Rate Schedule on behalf of any Shipper that fails to comply

with any and all of the terms of this Rate Schedule, with the

terms of Shipper's executed Service Agreement with Transporter

or with the provisions of Transporter's General
