PRELIMINARY STATEMENT

K N Wattenberg is a "natural gas company" under the definition of

Section 2(6) of the Natural Gas Act and is subject to the jurisdiction of

the Commission. K N Wattenberg's operations include the exchange and

transportation of natural gas. K N Wattenberg operates in the state of

Colorado performing one or more of these functions.
