12.3 This Agreement contains Exhibits A, B and C which are

incorporated fully herein.

12.4 THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN

ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS.

ARTICLE XIII

Superseding of Prior Agreements

This Agreement supersedes and cancels the following Service

Agreement(s) between Transporter and Shipper.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement

by their duly authorized officers effective as of the date first written

above.
