FORM OF SERVICE AGREEMENT

UNDER RATE SCHEDULE IPS

THIS AGREEMENT is made and entered into this _____ day of

________________, 19______ by and between WILLIAMS NATURAL GAS COMPANY,

a Delaware corporation, having its principal office in Tulsa, Oklahoma,

hereinafter referred to as "WNG," and

___________________________________________________, a

_____________________________________ corporation, having its principal

office in ____________________________________, hereinafter referred to

as "Pooling Shipper."

IN CONSIDERATION of the premises and of the mutual covenants and

agreements herein contained, WNG and Pooling Shipper agree as follows:

ARTICLE I

QUANTITY TO BE POOLED

1.1 Subject to the provisions of this Agreement and of WNG's Rate

Schedule IPS, WNG agrees to accept such quantities of natural gas

as Pooling Shipper may nominate from the Receipt Point(s) selected

from WNG's Master Receipt Point List(s) in the same area, as

revised from time to time, into the Production Area Pool and/or

Market Area Pool, as applicable; however, such nominated quantities

shall not exceed the Maximum Pooling Quantity (MPQ) for each area,

all as set forth below:
