12.4 Subject to the receipt of all necessary regulatory

authorization, Transporter shall not be required to perform

service under this ITS Rate Schedule on behalf of any

Shipper that fails to comply with any and all of the terms

of this ITS Rate Schedule and with the terms of Shipper's

ITS Service Agreement with Transporter; provided, however,

that Transporter shall give Shipper at least 15 days advance

written notice during which Shipper has an opportunity to

come into compliance before Transporter exercises its rights

to seek all necessary regulatory authorization.

12.5 From the time the natural gas is received by Transporter at

the Point(s) of Receipt, Transporter shall have the

unqualified right to commingle such natural gas with other

gas in Transporter's pipeline system.

13. MEASUREMENT

Transporter shall arrange for or shall install, operate and

maintain at or near Point(s) of Receipt and Point(s) of delivery

measuring equipment which shall meet the qualifications set out

in Section 3 of the General Terms and Conditions of Transporter's

FERC Gas Tariff of which this ITS Rate Schedule is a part. The

provisions of Section 3 of the said General Terms and Conditions

shall apply to Transporter's measuring equipment hereunder except

that, in lieu of a recording calorimeter, Transporter may

determine the heating value of natural gas transported hereunder

on the basis of samples taken at periodic intervals.

14. GOVERNMENTAL AUTHORIZATION

Transportation service under an executed ITS Service Agreement

shall be implemented pursuant to Transporter's blanket

certificate issued pursuant to 18 C.F.R. 284.221, or pursuant

to any other self-implementing program of the FERC. The ITS

Service Agreement shall contain such additional language as

specifically required by the Commission's regulations.

15. GENERAL TERMS AND CONDITIONS

All of the General Terms and Conditions of Transporter's FERC Gas

Tariff are made a part hereof; provided, however, that to the

extent that such terms and conditions are inconsistent with any

provision herein, the terms and conditions of this ITS Rate

Schedule shall control. To the extent that any provision of the

ITS Service Agreement conflicts with the terms and conditions of

Transporter's FERC Gas Tariff, the terms and conditions of the

tariff shall control.
