to carry out the provisions of the executed FTS Service

Agreement.

13. OTHER OPERATING CONDITIONS

13.1 Shipper shall make all necessary arrangements with other

parties at or upstream of the Point(s) of Receipt where it

tenders gas to Transporter for transportation, and such

arrangements must be compatible with Transporter's pipeline

operations. Such arrangements shall be coordinated with

Transporter's dispatchers.

13.2 Transporter shall not be required to perform service under

this FTS Rate Schedule in the event all facilities necessary

to render the requested service are not in existence at the

time the request is made.

13.3 Subject to the requirements of Section 7 of the Natural Gas

Act, Transporter shall not be required to perform or to

continue to perform service under this FTS Rate Schedule on

behalf of any Shipper that has applied for bankruptcy under

any provision of the Bankruptcy Code or on behalf of any

Shipper who, at Transporter's discretion, fails to

demonstrate minimal creditworthiness.

13.4 Subject to the receipt of all necessary regulatory

authorization, Transporter shall not be required to perform

service under this FTS Rate Schedule on behalf of any

Shipper that fails to comply with any and all of the terms

of this FTS Rate Schedule and with the terms of Shipper's

FTS Service Agreement with Transporter; provided, however,

Transporter shall give Shipper at least 15 days advance

written notice during which Shipper has an opportunity to

come into compliance before Transporter exercises its rights

to seek all necessary regulatory authorization.

13.5 From the time the natural gas is received by Transporter at

the Point(s) of Receipt, Transporter shall have the

unqualified right to commingle such natural gas with other

gas in Transporter's pipeline system.

14. MEASUREMENT

Transporter shall arrange for or shall install, operate and

maintain at or near Point(s) of Receipt and Point(s) of Delivery

measuring equipment which shall meet the qualifications set out
