NOTICES

Section 7.1 - Any notice, statement, or bill provided for

in this Agreement shall be in writing and shall be considered

as having been given if hand-delivered or, if received, when

mailed by United States mail, postage prepaid, to the addresses

specified on Exhibit A hereto, or such other addresses as

either party shall designate on a superseding Exhibit A.

ARTICLE 8

MISCELLANEOUS
