THIS AGREEMENT, made and entered into as of the ______ day of

PANHANDLE EASTERN PIPE LINE COMPANY, (hereinafter called

"Panhandle"), a Delaware Corporation,

and

(hereinafter called "DVS Party"),

DVS Party represents and warrants that DVS Party conforms to the

requirements of 18 C.F.R.

In consideration of the mutual covenants and agreements as herein set

forth, both Panhandle and DVS Party covenant and agree as follows:

ARTICLE 1 - SERVICE

1.1 DVS Party agrees to purchase the Delivery Variance Service

offered by Panhandle and desires to have Panhandle manage on a firm

basis the daily scheduling variances at a single Point of Delivery up

to the Maximum Daily Variance Quantity (MDVQ) as follows:
