CAPACITY RELEASE

FORM OF SERVICE AGREEMENT

CONTRACT NO. __________

THIS AGREEMENT is made effective as of the ______ day

of _________________________, ______, by and between:

PANHANDLE EASTERN PIPE LINE COMPANY, (hereinafter called

"Panhandle"), a Delaware Corporation,

and

(hereinafter called "Replacement Shipper").

In consideration of the mutual covenants and agreements as herein set

forth, both Panhandle and Replacement Shipper covenant and agree as

follows:

ARTICLE 1 - SERVICE

For each occasion that Replacement Shipper obtains an

assignment of service rights from a Releasing Shipper, an Addendum in

the form of Exhibit A, attached hereto will be made a part hereof.

The specific terms and conditions of each release shall be reflected

in each Addendum, which shall be incorporated and made a part of this

Agreement, and which together shall constitute the terms and

conditions of Panhandle's service for each release.

Panhandle agrees to receive at the Point(s) of Receipt and

deliver at the Point(s) of Delivery, on a firm basis, Quantities of

Natural Gas up to the Maximum Daily Contract Quantity and/or Maximum

Stored Quantity obtained from the Releasing Shipper. The Maximum

Daily Contract Quantity is stated in delivered Quantities, for which

received Quantities must be adjusted for fuel usage and lost or

unaccounted for Gas as set out in the then-effective, applicable

rates and charges under Panhandle's Rate Schedules applicable to the

Releasing Shipper.
