FORM OF SERVICE AGREEMENT

RATE SCHEDULE IT

THIS AGREEMENT (“Agreement”) is made and entered into as of the ______________ day of

______________________, ____________, by and between T. W. Phillips Pipeline Corp., hereinafter

referred to as “Transporter” and _____________________________________, hereafter referred to as

“Shipper”. Transporter and Shipper shall collectively be referred to herein as the “Parties”.

This Agreement is made pursuant to Rate Schedule IT of Transporter’s FERC Gas Tariff, Original

Volume No. 1 (“Tariff”), on file with the Federal Energy Regulatory Commission (“Commission”).

WITNESSETH:

WHEREAS, Transporter owns and operates the T. W. Phillips Pipeline System;

WHEREAS, Shipper desires to purchase transportation service from Transporter;

NOW, THEREFORE, in consideration of the premises and mutual covenants and agreements

herein contained, Transporter and Shipper agree as follows:

ARTICLE I

SERVICE TO BE RENDERED

Transporter shall perform and Shipper shall receive transportation service in accordance

with the provisions of the effective Rate Schedule IT and the applicable General Terms and Condi-

tions (“GT&C”) of Transporter’s Tariff, as the same may be amended, or superseded, or modified

from time to time in accordance with applicable laws and regulations. The maximum obligations of

Transporter to transport Gas hereunder for Shipper, and the designation of the Primary Receipt

Point(s) and Primary Delivery Point(s) at which service will be rendered for Shipper, are speci-

fied on Exhibit A of this Agreement, as the same may be amended from time to time by agreement

between Shipper and Transporter, or as required by the rules and regulations of the Commission.

ARTICLE II

TERM OF AGREEMENT

Service under this Agreement shall commence as of _____________________________________

and shall continue in full force and effect until _______________________________. Shipper and

Transporter agree to avail themselves of the Commission’s pre-granted abandonment authority upon

termination of this Agreement, subject to any right of first refusal Shipper may have under the

Commission’s rules and regulations and Transporter’s Tariff.
