FACILITIES REIMBURSEMENT AGREEMENT

(Pursuant to Section 21 of the General Terms and Conditions)

1. DESCRIPTION OF NEW FACILITIES:

The new facilities contemplated by Section 1(b) of Rate

Schedule FT, which are necessary to provide service under this

agreement include the following:

2. RESPONSIBILITY FOR NEW FACILITIES COSTS:

The total estimated reimbursable cost of facilities is

$__________. Pursuant to Section 21 of the General Terms and

Conditions of Transporter's FERC Gas Tariff, Shipper is

responsible to pay for the costs associated with the

installation, construction, modification, operation, maintenance

and/or rearrangement of the facilities described above.

3. FACILITIES REIMBURSEMENT CHARGE:
