PRELIMINARY STATEMENT

Rendezvous Pipeline Company, L.L.C., hereinafter referred to as

"Transporter," is a "natural gas company" as defined by the

Natural Gas Act (52 Stat. 821, 15 U.S.C. Sections 717-717w) and,

as such, is subject to the jurisdiction of the Federal Energy

Regulatory Commission, hereinafter referred to as "FERC."

Transporter is engaged in the business of transporting natural

gas in interstate commerce.
