3. Upon termination of the Reserve Dedication Agreement,

Shipper and Stingray shall file of record a release and

termination of this Memorandum.

4. This Memorandum shall be binding upon and shall inure to the

benefit of the Parties hereto, and to their respective

successors and permitted assigns.
