4.8 Authority. Each of Stingray and Shipper represents and

warrants to the other that it has all requisite power and

authority to carry on its business as presently conducted,

to enter into this Agreement and to perform its respective

obligations under this Agreement.

Stingray and Shipper have caused their duly authorized

representatives to execute this Agreement effective as of the

date first set forth above.
