PARKING AND LENDING SERVICE AGREEMENT

SERVICE UNDER RATE SCHEDULE PAL

THIS AGREEMENT is made effective as of the ______ day

________________________, _________, by and between:

STINGRAY PIPELINE COMPANY, L.L.C. (hereinafter called

"Stingray"),

and

(hereinafter called

"Shipper").

Shipper represents and warrants that Shipper conforms to the

requirements of 18 C.F.R.

Section 284.102 (284B - Intrastate Pipelines or

Local Distribution Companies)

In consideration of the mutual covenants and agreements as

herein set forth, both Stingray and Shipper covenant and agree

as follows:

ARTICLE 1 - QUANTITIES AND POINTS OF SERVICE

Subject to the provisions of this Agreement, Stingray shall

park, and/or receive a loan of, Gas hereunder up to, as

applicable, the Maximum Parked Quantity, which is _____ Dth of

gas, or the Maximum Loaned Quantity, which is _____ Dth of

gas, for the account of Shipper at the pooling point

contemplated in Section 7 of the General Terms and Conditions

or the PAL accounting point, as applicable.

At no time shall Shipper's quantity of parked or loaned Gas

hereunder exceed this maximum agreed upon quantity.

ARTICLE 2 - TERM

This Agreement shall be effective from the date first stated

above. Stingray shall provide interruptible Parking and

Lending service for Shipper pursuant to this Agreement from

____________________ until _______________________,

when this Agreement shall expire.
