GENERAL TERMS AND CONDITIONS

27. INDEMNIFICATION

27.1 GENERAL

Shipper will indemnify and hold Stingray harmless from

and against any and all suits, actions, causes of action, claims and

demands arising from or out of any adverse claims by third parties

claiming ownership of or an interest in the gas tendered under an

Agreement. Stingray will indemnify and save Shipper harmless from

and against any and all suits, actions, causes of action, claims and

demands arising from or out of any adverse claims by third parties

claiming ownership of or an interest in the gas delivered to

Shipper, or for Shipper's account, under an Agreement.

27.2 ELIGIBILITY FOR SERVICE

Shipper warrants that its requested service meets the

requirement for service under the applicable Rate Schedule and these

General Terms and Conditions and conforms to applicable Regulations

of the FERC. Shipper further agrees to abide by the terms of the

applicable Rate Schedule and these General Terms and Conditions.

Shipper will indemnify Stingray and hold Stingray harmless from all

suits, actions, damages, costs, losses, expenses (including

reasonable attorney fees) and regulatory proceedings arising from

its breach of this warranty. Shipper further agrees to indemnify

Stingray and save Stingray harmless from any claims asserted by any

person because of any curtailment or interruption of service which

is consistent with the applicable Rate Schedule and these General

Terms and Conditions. Shipper, however, shall have no obligation to

indemnify Stingray for the results of any intentional or

unintentional acts by Stingray that contravene the applicable Rate

Schedule or these General Terms and Conditions, or for adverse

consequences of Stingray's actions to the extent such consequences

are the result of Stingray's negligence or misfeasance.
