32. DESCRIPTIVE HEADINGS

The descriptive headings of the provisions of this FERC Gas Tariff are

formulated and used for convenience only and shall not be deemed to affect

the meaning or construction of any of such provisions.

33. GOVERNMENTAL REGULATION

33.1 The Service Agreement, and all terms and provisions contained or

incorporated therein, and the respective obligations of the parties

thereunder are subject to valid laws, orders, rules and regulations

of the Commission and any other body with jurisdiction over these

matters.

34. REPORTS WITH RESPECT TO TARIFF

34.1 On an annual basis, Pipeline files its OBA report in accordance with

GT&Cs Section 7.1(d).

34.2 On an annual basis, Pipeline files its Cash-Out report in accordance

with GT&Cs Section 12.8.

34.3 On an annual basis, Pipeline files its Fuel Retainage Percentage

("FRP") report in accordance with GT&Cs Section 22.

34.4 On an annual basis, Pipeline files its ACA Charge, if any, pursuant

to GT&Cs Section 24.

34.5 On an annual basis, Pipeline files its Penalty Revenue Sharing

report pursuant to GT&Cs Section 25.

34.6 On an annual basis, Pipeline files its IT Revenue Sharing report

pursuant to GT&Cs Section 26.
