Pipeline Company, L.P. ("Riverside") that it plans to release capacity

under its firm Service Agreement dated _______________________. Shipper

agrees that if it will comply with the terms and conditions of

Transporter's Capacity Release Program, as contained in Section 18 of the

General Terms and Conditions of Riverside's FERC Gas Tariff.
