FORM OF SERVICE AGREEMENT

FOR THE ELECTRONIC INFORMATION MANAGEMENT SYSTEM

This ELECTRONIC INFORMATION MANAGEMENT SYSTEM AGREEMENT, made and entered

into this ___ day of ________ by and between MONROE GAS STORAGE COMPANY, LLC

(“Operator”) and ____________________ (“Subscriber”), witnesseth that for and in

consideration of the mutual covenants and provisions herein contained and subject

to all of the terms, provisions and conditions herein set forth, Subscriber and

Operator do hereby agree as follows:

Section 1 Scope Of Agreement and Election of Optional Contract Terms.

a. Operator shall make available for use by Subscriber Operator’s

computerized Electronic Information Management System to perform such

functions as may be available on the Electronic Communication System from

time to time.

b. Use of the Electronic Information Management System is subject to

the General Terms and Conditions, as well as the provisions of any Rate

Schedule and Service Agreement, of the FERC Gas Tariff of Operator with whom

the Subscriber is interacting to carry out the Electronic Information

Management System transactions, as set forth in Operator’s currently

effective FERC Gas Tariff, as effective from time to time, and which are

hereby incorporated by reference.

c. Subscriber agrees that Operator shall have the unilateral right to

file with the appropriate regulatory authority and to make changes effective

in (a) the rates and charges applicable to service pursuant to this

Electronic Information Management System Agreement; and (b) any provision of

Operator’s FERC Gas Tariff related to the Electronic Information Management

System. Operator agrees that Subscriber may protest or contest the

aforementioned filings, and Subscriber does not waive any rights it may have

with respect to such filings.
