c. No presumption shall operate in favor of or against any party as a

result of any responsibility or role that any party may have had in the

drafting of this Agreement.

d. This Agreement shall not create any rights in third parties, and no

provisions hereof shall be construed as creating any obligations for the

benefit of, or rights in favor of, any person or entity other than

Operator or Customer.

e. This Agreement may be executed in counterparts, and all such executed

counterparts shall form part of this Agreement. A signature delivered

by facsimile or electronically shall be deemed to be an original

signature for all purposes.

IN WITNESS WHEREOF, the parties hereto have caused this Umbrella Service

Agreement to be duly signed by their respective Presidents, Vice Presidents or other

duly authorized agents and their respective corporate seals to be hereto affixed and

attested by their representative Secretaries or Assistant Secretaries, as of the

date first above written.
