PRELIMINARY STATEMENT

West Texas Gas, Inc. (Seller) is a natural gas company engaged in the

business of purchasing, transporting, and distributing natural gas in the

States of New Mexico, Oklahoma, and Texas. As successor to Peoples Natural

Gas Company, Division of Internorth, Inc., West Texas Gas, Inc. makes sales

of gas under this Tariff for resale in Oklahoma and New Mexico from the

Bivins-Clayton Transmission facilities, also known as its "Dalhart" system.
