10.2 No waiver by either party of any one or more defaults

by the other in the performance of any provisions of

this Agreement shall operate or be construed as a

waiver of any future defaults of a like or different

character.

10.3 This Agreement contains Exhibits A, B and C which are

incorporated fully herein, and made a part hereof.

10.4 Except for regulatory approvals, this Agreement shall

be governed by and interpreted in accordance with the

laws of the State of Texas.

IN WITNESS WHEREOF, the parties hereto have executed this

Agreement by their duly authorized officers effective as of

the date first written above.
