PRELIMINARY STATEMENT

Norte¤o Pipeline Company ("Norte¤o") is a natural gas

company engaged in the business of providing sales and

transportation service to natural gas distribution companies

and other customers. Norte¤o's system is located in El Paso

County, Texas, and Dona Ana County, New Mexico, at Canutillo

and Anthony (Southern Division). Additionally, Norte¤o's

Del Norte System consists of two discrete transmission line

segments that function to transport and export natural gas

to Mexico.
