3. Obligations of Replacement or Prearranged Shippers - Replacement
and Prearranged Shippers must be on MIGC's approved bidder list before bids
may be posted, must have an executed EDI Agreement and an executed Master
Capacity Release Agreement and must qualify under the General Terms and
Conditions of MIGC's Tariff at the time of any bid. To be on the approved
bidder list, the Replacement or Prearranged Shipper must satisfy MIGC's
credit requirements as outlined in Section 6.3(g) of MIGC's General Terms
and Conditions applicable to all services that the Shipper receives from
MIGC including the service represented by the capacity release, and provide
the information required by Section 6.3(g) of the General Terms and
Conditions. Such credit appraisal shall be reevaluated and updated every 12
months. The Replacement or Prearranged Shipper shall remain on the
approved bidders list until such Replacement or Prearranged Shipper
notifies MIGC to the contrary, no longer meets the credit qualifications
established in Section 6.3(g) of the General Terms and Conditions, or is
suspended from the approved bidders list in the event, and for such time as,
such Replacement or Prearranged Shipper fails to pay part or all of the
amount of any bill in accordance with Sections 8.2 and 8.3 of the General
Terms and Conditions. The Replacement or Prearranged Shipper must satisfy
all other provisions of MIGC's Tariff governing customer eligibility before
it may contract with MIGC for the released capacity. Once the Replacement
or Prearranged Shipper becomes an existing customer just like any other
customer it will be subject to all applicable provisions of MIGC's FERC Gas
Tariff, including but not limited to MIGC's billing, payment and operational
provisions.
