FORM OF SERVICE AGREEMENT

(Applicable to Interruptible Service under Rate Schedule LSV-I)

This Agreement, is made and entered into this _______ day of

___________, by and between Total Peaking Services, L.L.C., a Delaware

limited liability company (hereinafter referred to as "Total Peaking") and

____________________, a _________________________ (hereinafter referred to

as "Customer" whether one or more persons).

In consideration of the premises and of the mutual covenants herein

contained, the parties do agree as follows:

ARTICLE I

QUANTITY OF LNG TO BE STORED

Subject to the terms, conditions and limitations hereof and of Total

Peaking's Rate Schedule LSV-I, Total Peaking agrees to provide

interruptible liquefaction, storage, and vaporization service,

specifically to:

(a) receive for Customer's account and liquefy up to the following

quantity of gas ___________ Dt, to constitute Customer's Maximum

Daily Liquefaction Volume;

(b) inject into its storage facility liquefied natural gas ("LNG") in

liquid form;

(c) store such LNG up to a total quantity at any one time of

___________________ Dt, to constitute Customer's Maximum Contract

Storage Capacity; and

(d) withdraw such stored gas requested by Customer and vaporize up to

______________ Dt, to constitute Customer's Maximum Daily

Vaporization Volume, and deliver such Regasified LNG to Customer

or for Customer's account.

ARTICLE II

TERM OF AGREEMENT

This agreement shall become effective as of _______________, shall

continue in effect for a term of __________________________ years

("Primary Term") and shall remain in force from month-to-month

thereafter unless terminated by either party pursuant to Section __ of

the General Terms and Conditions.
