GENERAL TERMS AND CONDITIONS

27. ELIGIBILITY FOR SERVICE

Shipper warrants that its requested service meets the

requirement for service under the applicable Rate Schedule and these

General Terms and Conditions and conforms to applicable Regulations

of the FERC. Shipper further agrees to abide by the terms of the

applicable Rate Schedule and these General Terms and Conditions.

Except to the extent provided in Section 24 of these General Terms

and Conditions, Shipper will indemnify KMLP and hold KMLP harmless

from all suits, actions, damages, costs, losses, expenses (including

reasonable attorney fees) and regulatory proceedings arising from

its breach of this warranty.
