GENERAL TERMS AND CONDITIONS

24. LIABILITY

(a) Except to the extent otherwise expressly agreed,

no party shall be liable for special, punitive, exemplary, or

consequential damages, whether based on contract, tort, strict

liability, other law or otherwise and whether or not arising from

any other party's sole, joint, concurrent or other negligence,

strict liability or other fault.

(b) Except to the extent otherwise expressly agreed,

no party shall be liable for the damages not waived pursuant to (a)

above except to the extent that such damages are attributable to

such party's negligence, gross negligence, or willful misconduct.
