PRELIMINARY STATEMENT

MIDCONTINENT EXPRESS PIPELINE LLC ("MEP" or "Transporter") is a

partnership of Kinder Morgan Energy Partners, L.P. and ETC

Midcontinent Express Pipeline L.L.C., a subsidiary of Energy Transfer

Partners, L.P. ("ETP"). MEP is a natural gas company primarily

engaged in the business of transporting natural gas in the States of

Texas, Louisiana, Mississippi and Alabama for delivery to other

interstate and intrastate pipelines.

The Currently Effective Rates, Rate Schedules, General Terms

and Conditions, and Forms of Service Agreement applicable to the

transportation services performed by MEP are contained herein.
