ANNUAL CHARGE ADJUSTMENT

Pursuant to Part 154 of the Federal Energy Regulatory

Commission's (Commission) regulations, Michigan Consolidated Gas

Company (Consolidated) shall recover annual charges assessed by the

Commission under Part 382 of its regulations. For each Mcf of

natural gas transported by Consolidated for transportation or

storage service under its F.E.R.C. Gas Tariffs, an Annual Charge

Adjustment (ACA) unit charge shall be collected at a rate specified

annually by the Commission. Consolidated does not intend to

recover any annual charges recorded in FERC Account No. 928 in a

NGA Section 4 rate case.

Consolidated's current ACA unit charge is $.0022 per Mcf.
