28. OFF-SYSTEM SERVICES

White River may enter into transportation and/or storage agreements

with other interstate and intrastate pipeline and storage providers (off-

system capacity). In the event that White River acquires off-system

capacity, White River will use such capacity for operational reasons or to

render service for its Shippers on the acquired capacity, pursuant to White

River's FERC Gas Tariff and subject to White River's currently approved

rates. For purposes of transactions entered into subject to this section,

the "shipper must hold title" requirement is waived on the acquired capacity.

29. APPLICABLE LAW

Any agreement executed pursuant to the terms and conditions of this

tariff shall be interpreted according to the laws of Utah without regard to

choice of law rule.
